Terms of Service

Effective August 9, 2026

These Terms govern use of AP Control, a service operated by AP Control Labs, a Colorado business in formation. By creating an organization, using the console, API, marketplace endpoints, or MCP tools, you agree to these Terms for yourself and the organization you represent.

Service and permitted use

AP Control accepts invoice documents and normalized invoice data, then returns read-only extraction, duplicate-control, exception-handling, and matching results. It may send signed webhook notifications you configure. It does not create, modify, or approve accounting-system records; initiate or authorize payments; or replace a human accounting review.

You may use the service only for lawful internal business purposes and only with data you are authorized to submit. You may not use it to violate law or third-party rights, introduce malware, bypass security or usage limits, probe other organizations, or submit data in a way that creates unreasonable risk to people or systems.

Accounts and API keys

You are responsible for your organization, authorized users, API keys, configured webhooks, and all activity performed with them. Keep keys secret, use a separate key for each integration where practical, and promptly revoke any key you believe may be exposed. You must provide accurate account information and notify us of unauthorized use.

If you connect through a third-party marketplace, agent directory, or gateway, that provider's terms also apply to its service. You authorize it to transmit requests and the credential you configure to AP Control, and you remain responsible for revoking that credential and ending the third-party connection.

Your content and results

You retain ownership of the content you submit. You grant us the limited right to host, process, transmit, and retain it solely to operate, secure, support, and improve the service as described in the Privacy Policy and Data Processing Addendum. You are responsible for checking extraction, duplicate, and match results before taking accounting or business action. Outputs may be incomplete or incorrect and are not accounting, tax, legal, or financial advice.

Trials, pricing, and billing

Direct-workspace organizations receive up to 25 successful invoice analyses as a trial. Failed analyses and historical imports are not billed. Private-preview features are invitation-only, may change or be withdrawn, and are not a paid entitlement or uptime commitment. Marketplace plans are sold and billed by the applicable marketplace under the price, quota, and cancellation terms displayed there. If direct paid plans are offered, applicable prices, billing cadence, and usage terms will be presented before purchase. You are responsible for applicable taxes other than taxes on our income.

Availability and changes

The service is provided on a best-effort basis without an uptime service-level agreement. We may change, suspend, or discontinue features to protect the service, comply with law, or improve reliability. We may suspend or terminate access for a material breach, security risk, nonpayment, or unlawful use.

Disclaimers and limits

To the maximum extent permitted by law, the service is provided "as is" and "as available." We do not warrant that results will be uninterrupted, error-free, complete, or suitable for a particular purpose. To the maximum extent permitted by law, AP Control Labs will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity arising from use of the service.

Governing law and updates

Colorado law governs these Terms, without regard to conflict-of-law rules. The Data Processing Addendum applies to Customer Content where its terms apply. Before public paid sales, these Terms should be reviewed by a Colorado business attorney. We may update them by posting a new effective date; continued use after the effective date means you accept the updated Terms.
